These Terms of Service govern your use of all platforms, services, events and digital environments operated by BangoPure Limited (registered in England & Wales) and BangoPure Europe Limited (registered in Ireland) — together "BangoPure". Together with our Privacy Policy and any service-specific supplementary terms, they form the contractual framework between BangoPure and you.
Definitions
The following defined terms apply throughout Part Two of this document. Where a term is defined in Part One (Privacy Policy), that definition applies equally in Part Two unless otherwise stated:

| 'Platform' | Any website, web application, mobile application, API, digital environment, or software service operated by or on behalf of BangoPure, including without limitation all services listed in the Scope of This Privacy Policy section of our Privacy Policy. |
| 'User' | Any individual, company, organisation, or other legal entity that accesses or uses any Platform or Service, whether registered or unregistered, whether paying or on a free tier. |
| 'Seller' | A User who lists products or services for sale on the Eco Products Marketplace or Waste-to-Wealth Marketplace. |
| 'Buyer' | A User who purchases products or services through any BangoPure marketplace. |
| 'Artisan' | A Seller whose products are handcrafted or produced by small-scale or community-based producers, including eco-artisans from African and emerging market communities. |
| 'Verified Product' | A product that has been assessed by the BangoPure AI Assessment Engine, received a Digital Product Passport, and had its sustainability claims blockchain-anchored on the Polygon network. |
| 'DPP' | Digital Product Passport as defined in the Definitions section of our Privacy Policy. |
| 'Event' | Any in-person, hybrid, or virtual event organised, co-organised, or facilitated by BangoPure, including the Catalyst 2026 Global Eco-Artisan Summit, the BangoPure DPP Conference Cork, and the BangoPure Ireland Summit 2027. |
| 'Delegate' | A registered attendee of any BangoPure Event, including participants in the Africa Delegate Programme. |
| 'Africa Delegate Programme' | The structured international delegate scheme offering Standard (£3,316 / 2,500,000 CFA), VIP (£4,000 / 3,500,000 CFA), and Premium (£4,700 / 4,000,000 CFA) packages for attendance at Catalyst 2026. |
| 'Academy' | The ReMaterial Academy operated by BangoPure at academy.bangopure.com, offering a seven-tier ISO 59000-aligned circular economy certification programme. |
| 'Content' | Any text, images, video, audio, data, code, software, listings, reviews, posts, messages, or other material submitted, posted, or transmitted by a User through any BangoPure Platform. |
| 'Intellectual Property' | All patents, trade marks, service marks, registered designs, unregistered design rights, copyright, database rights, domain names, trade secrets, know-how, and all other intellectual property rights of whatever nature, whether registered or unregistered, and all applications therefor. |
| 'Subscription' | A recurring paid membership to any BangoPure service tier, billed monthly or annually as selected by the User. |
| 'SLA' | Service Level Agreement, specifying the performance, availability, and support standards BangoPure commits to delivering for B2B SaaS services. |
| 'Force Majeure' | Any event beyond the reasonable control of BangoPure, including acts of God, war, terrorism, pandemic, governmental action, cyberattack, infrastructure failure, or natural disaster. |
| 'Prohibited Content' | Any Content described in the Dropshipping & VAT Logic Support section of these Terms as being prohibited on BangoPure Platforms. |
| 'Credit Note' | A non-refundable credit of equivalent value to the relevant payment, issued in lieu of a cash refund in accordance with BangoPure's cancellation policy. |
Acceptance of Terms and Formation of Contract
These Terms of Service, together with any supplementary service-specific terms, schedules, pricing agreements, SLAs, or order forms referenced herein or agreed in writing, constitute the entire legally binding agreement between you and BangoPure governing your use of all BangoPure Platforms and Services.
You conclusively accept these Terms by any of the following acts:
- Completing any BangoPure registration form or account creation process
- Clicking any button marked 'I Agree', 'Accept', 'Register', 'Subscribe', 'Purchase', 'Enrol', or any similar affirmative action on any BangoPure Platform
- Accessing or browsing any BangoPure website or application following the publication of these Terms
- Making any payment to BangoPure for any service, ticket, subscription, or product
- Submitting any product listing, AI assessment request, or DPP generation request
- Attending any BangoPure Event
- Signing any BangoPure contract, letter of agreement, or MOU that incorporates these Terms by reference
If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and 'you' throughout these Terms refers to that entity. If you do not have that authority, you must not accept these Terms and must not use any BangoPure service on that entity's behalf.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, subject to the jurisdiction-specific provisions set out in the Governing Law and Jurisdiction section below.
Account Registration and Security
Access to most BangoPure Platforms and Services requires the creation and maintenance of a registered account. The following obligations apply to all registered Users:
Registration Requirements
- All information provided during registration must be accurate, current, and complete. Submission of false, misleading, or incomplete information constitutes a material breach of these Terms and grounds for immediate account suspension or termination.
- Users must provide a valid email address and, where required, a valid telephone number. BangoPure will use these contact details for account-related communications and, where consent has been given, for marketing communications.
- Business accounts must provide accurate company registration details, including registered company name, company number, and jurisdiction of incorporation.
- BangoPure accounts and credentials are personal and non-transferable. You may not share, sell, sub-licence, or otherwise transfer your BangoPure account to any third party.
Account Security
- You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any MFA devices or codes.
- You must notify BangoPure immediately at security@bangopure.com upon becoming aware of any unauthorised access to your account or any breach of your account security.
- BangoPure will never ask you for your full password. Any communication purporting to be from BangoPure requesting your full password should be treated as fraudulent and reported immediately.
- BangoPure shall not be liable for any loss or damage arising from your failure to comply with this Section, including any loss arising from unauthorised transactions processed before notification of a security breach.
Account Verification and KYC
BangoPure reserves the right to require identity verification at any stage, including upon initial registration, prior to processing any withdrawal or payout, prior to issuing any visa support letter, and at any point where BangoPure has reasonable grounds to suspect fraud, money laundering, or misrepresentation. Failure to complete identity verification within the timeframe requested by BangoPure (which shall not be less than 5 working days) may result in temporary account restriction or permanent account closure, with any accrued payables held pending verification completion.
Single Sign-On
BangoPure's unified Single Sign-On (SSO) infrastructure means that a single BangoPure account provides access to all fourteen core services subject to your subscription tier and permissions. You acknowledge that logging into any BangoPure service may generate authentication records visible across the BangoPure ecosystem, and that certain cross-service data flows are a necessary function of the integrated platform architecture.
Eco Products Marketplace — Service-Specific Terms
Seller Obligations
- All sellers must complete BangoPure's onboarding process, including identity verification and, where applicable, business verification, before listing any product.
- All product listings must be accurate, complete, and not misleading. Product images must be original, authentic, and representative of the actual item offered for sale.
- Sellers warrant that all sustainability claims made in product listings are accurate, capable of substantiation, and not in contravention of the UK Green Claims Code, the EU Green Claims Directive, or any applicable advertising standards.
- Sellers acknowledge that all product listings are subject to AI Assessment Engine verification. Listings that fail to obtain a passing verification score may be held pending manual review or rejected.
- Sellers must submit all documentation required by BangoPure for DPP generation, including material composition data, supplier information, and lifecycle assessment evidence.
- The seller commission rate of 8% to 15% of gross transaction value will be deducted from each completed sale by BangoPure at the point of payment settlement. The applicable rate is determined by product category, seller tier, and promotional agreements.
- Sellers are responsible for all applicable taxes on their income, including income tax, VAT, and any equivalent taxes in their jurisdiction. BangoPure's deduction of commission does not affect the seller's tax obligations.
Buyer Protections
- Buyers are entitled to a full refund of the purchase price (excluding standard delivery charges) where a product is not as described, is materially different from its Digital Product Passport, or fails to arrive within the confirmed delivery timeframe.
- All disputes between buyers and sellers must be raised through BangoPure's Resolution Centre within 30 days of the estimated delivery date. BangoPure will act as a neutral facilitator in all marketplace disputes and reserves the right to issue a binding determination where the parties cannot reach agreement.
- BangoPure's buyer protection does not extend to losses arising from the buyer's own error (incorrect delivery address, incorrect product selected) or to customised or bespoke products where the seller's listing clearly stated a no-return policy.
Prohibited Products
The following categories of product may not be listed on any BangoPure marketplace, regardless of any sustainability claim:
- Products that do not meet the minimum sustainability criteria established in BangoPure's Product Eligibility Standards (published separately at bangopure.com/standards)
- Counterfeit goods, goods infringing any third party's intellectual property rights, or goods that misappropriate any artisan community's traditional knowledge or cultural heritage
- Goods that are illegal to sell in the United Kingdom, the Republic of Ireland, or the target market for the listing
- Goods subject to export control, sanctions, or embargo restrictions applicable in the seller's or buyer's jurisdiction
- Goods containing materials classified as hazardous or restricted under UK, EU, or international trade regulations
Waste-to-Wealth Marketplace — Service-Specific Terms
The Waste-to-Wealth Marketplace is a premium platform for verified upcycled and waste-derived products. In addition to all terms applicable to the Eco Products Marketplace (the Eco Products Marketplace section), the following additional terms apply:
- All products listed must contain a minimum of 70% waste-derived or upcycled material content, as verified by the BangoPure AI Assessment Engine. Products failing to meet this threshold will be rejected from the Waste-to-Wealth Marketplace but may, at BangoPure's discretion, be eligible for listing on the Eco Products Marketplace.
- The AI Assessment Engine's waste content determination is final unless successfully challenged through the human review process described in the AI-Assisted Fraud Detection provisions of our Privacy Policy.
- The average transaction value on this marketplace is approximately £120. Sellers agree that pricing must reflect authentic premium positioning commensurate with the verified sustainability credentials of the product.
- BangoPure reserves the right to feature curated products on the Waste-to-Wealth homepage and in promotional materials, without payment, where the product has achieved a high AI verification score and is considered exemplary of the marketplace's values.
Eco Services Hub — Service-Specific Terms
- All sustainability professionals, consultants, and service providers listed on the Eco Services Hub must hold the qualifications, certifications, and accreditations stated in their profile. BangoPure reserves the right to require evidence of any claimed qualification at any time.
- Service providers agree to maintain their BangoPure ISO 59000-aligned Certified Circular Consultant credential as a condition of continued listing. Failure to maintain the relevant standard will result in profile removal.
- The platform commission of 15% applies to all completed service engagements, payable by the service provider. This commission is automatically deducted at the point of payment settlement.
- BangoPure does not guarantee client enquiries or engagement volumes to listed service providers. Listing on the Eco Services Hub does not create any employment, agency, partnership, or franchise relationship between BangoPure and the service provider.
- All service engagements arranged through the Eco Services Hub are bilateral contracts between the client and the service provider. BangoPure is not a party to such engagements and is not liable for the quality, timeliness, or outcome of any service delivered.
- Service providers must not solicit clients met through the Eco Services Hub to transact outside the platform for a period of twelve (12) months from the date of initial introduction. Breach of this restriction shall entitle BangoPure to claim a commission equivalent to what would have been payable had the transaction occurred through the platform.
EcoConnect Communities — Service-Specific Terms
- EcoConnect Communities is a professional networking and learning environment. Users are expected to engage professionally, constructively, and in good faith at all times.
- Free tier members have access to basic community features. Professional membership (£15/month) and Enterprise membership (£45/month) unlock enhanced features including enhanced mentorship matching, priority support, and extended impact credit earning.
- Impact Credits earned through community participation are redeemable only for BangoPure platform benefits as described in the Impact Credits Programme terms published at community.bangopure.com. Impact Credits have no monetary value, are not transferable, and expire 12 months from the date of earning if unused.
- BangoPure employs AI-assisted and human content moderation. Users who post content that violates community guidelines will receive a warning on first offence. Repeated violations will result in temporary suspension. Severe violations (including hate speech, illegal content, or deliberate misinformation) will result in immediate permanent removal with no right of appeal.
- BangoPure Community content is monitored for compliance with UK law, EU law, and applicable national laws in the jurisdictions where users are located. BangoPure will cooperate fully with law enforcement requests relating to unlawful content.
Catalyst Events Platform and Eco Ticketing Services — Service-Specific Terms
Event Registration and Ticket Purchases
- All event registrations and ticket purchases are subject to BangoPure's Event Terms and the specific terms published in the relevant event's registration materials.
- Ticket purchases are processed through TicketTailor. By purchasing a ticket, you also accept TicketTailor's terms of service.
- Tickets are generally non-transferable unless expressly stated otherwise in the specific event's terms.
- Attendance at BangoPure events implies consent to photography and video recording for promotional, documentary, and archival purposes. Where you do not wish to appear in promotional materials, you must notify BangoPure in writing at events@bangopure.com at least 48 hours prior to the event.

Africa Delegate Programme — Specific Terms
The following terms govern participation in the Africa Delegate Programme for Catalyst 2026:

- All Africa Delegate Programme packages exclude international flights to and from the United Kingdom. Delegates are responsible for arranging and funding their own flights.
- The BangoPure Ireland Summit 2027 is excluded from all Africa Delegate Programme package tiers and is not included in any delegate package pricing.
- A Visa Support Letter will be issued to successful applicants only upon receipt of full payment in cleared funds. BangoPure does not issue visa support letters in advance of full payment under any circumstances.
- No monthly instalment payment plans are available for Africa Delegate Programme packages. Full payment is required prior to issuance of any visa support letter or booking confirmation.
- In the event of cancellation by the delegate, a flat administration fee of £250 will be deducted, and the balance will be issued as a Credit Note valid for future BangoPure events. No cash refunds are available.
- Delegates are responsible for obtaining their own visas. BangoPure provides a visa support letter as a courtesy; the issuance of a support letter does not guarantee visa approval. BangoPure accepts no liability for visa refusals or delays, and no refund of the Africa Delegate Programme fee will be made on grounds of visa refusal.
- Delegates are responsible for ensuring they hold valid travel and health insurance for their trip. BangoPure's quoted insurance cover (£150,000 / £250,000) refers to the travel insurance policy included within the delegate package.

AI Assessment Engine — Service-Specific Terms
- The AI Assessment Engine achieves material identification accuracy of 95.3% against BangoPure's validation dataset. Whilst BangoPure invests substantial resources in maintaining and improving this accuracy, no AI system is infallible. BangoPure does not warrant that any specific assessment result will be 100% accurate.
- Assessment results issued by the AI Assessment Engine and subsequently blockchain-anchored in a Digital Product Passport constitute BangoPure's formal verification determination for the purposes of product listing and regulatory compliance reporting. Such determinations are subject to the human review rights described in the AI Assessment Engine provisions of our Privacy Policy.
- Users who submit products for AI Assessment warrant that all submitted images, documents, and information are accurate and authentic. Submission of fraudulent, misleading, or manipulated materials to the AI Assessment Engine constitutes a serious breach of these Terms and may constitute a criminal offence under the Fraud Act 2006 or equivalent legislation.
- BangoPure retains all AI Assessment results and associated data for the lifetime of the relevant product or ten years (whichever is longer) for regulatory compliance purposes.
- Pay-per-assessment pricing applies at £5 to £15 per assessment depending on the assessment tier. Enterprise API licensing is available at £5,000 to £50,000 per annum.
Digital Product Passport (DPP) Platform — Service-Specific Terms
- DPP generation is available on a pay-per-assessment basis (£5 to £15) or through enterprise API licencing (£5,000 to £50,000 per annum). The applicable pricing is confirmed at the time of order or in the enterprise agreement.
- All DPPs generated through the BangoPure platform are designed to be compliant with the EU Ecodesign for Sustainable Products Regulation (ESPR) requirements anticipated to apply from 2027. BangoPure will update the DPP standard as regulatory requirements are finalised, and enterprise licence holders will be notified of any material changes to the DPP schema.
- DPP data is stored across a three-tier architecture: immutable identifiers and hashes on the Polygon blockchain, full documentation files on IPFS (guaranteed for 10+ years via Filecoin/Pinata), and structured metadata in BangoPure's PostgreSQL databases. Users acknowledge and accept the immutability characteristics of blockchain storage as described in the Blockchain Data and Immutability Notice section of our Privacy Policy.
- BangoPure provides the DPP generation infrastructure and does not independently warrant the regulatory acceptability of generated DPPs in every jurisdiction or for every product category. Users are responsible for ensuring that the product data submitted to the DPP platform is complete, accurate, and legally sufficient for their specific regulatory purposes.
- QR codes generated as part of the DPP process link to the DPP viewer hosted by BangoPure. BangoPure commits to maintaining QR code functionality for the minimum duration specified in the applicable licence term.
Eco Logistics Services — Service-Specific Terms
- BangoPure's Eco Logistics Services provides carbon-neutral fulfilment, multi-country warehousing, and international shipping for marketplace sellers. Logistics service charges are set out in the Eco Logistics pricing schedule, available at logistics.bangopure.com.
- BangoPure uses third-party carrier partners to fulfil all physical shipments. BangoPure acts as a logistics broker and service aggregator and is not itself a carrier. Liability for physical loss or damage in transit is governed by the applicable carrier's terms and conditions, and BangoPure's liability is limited as set out in the Limitation of Liability section below.
- Carbon-neutral certification of logistics operations is achieved through verified carbon offset schemes. BangoPure will provide documentation of the applicable offset programme upon request.
- Sellers using Eco Logistics Services must accurately declare the contents, weight, value, and nature of all shipments. False declarations constitute a criminal offence in all applicable jurisdictions and will result in immediate account termination, cooperation with relevant authorities, and recovery of all costs incurred by BangoPure.
- BangoPure's Eco Logistics infrastructure covers projected Year 5 revenue of £49.05 million across multi-country warehousing operations. Users acknowledge that logistics capacity may be subject to operational limits and advance booking requirements during peak periods.
Digital Bridge / Inventory-as-a-Service (IaaS) — Service-Specific Terms
- Digital Bridge provides real-time inventory synchronisation across 50+ marketplace channels with a sub-10ms latency SLA and 99.99% uptime guarantee.
- B2B external pricing is £350 to £2,400 per month, with white-label licensing available at £25,000 per annum plus £180 per client account, as set out in the applicable order form.
- The 99.99% uptime SLA equates to a maximum of 52.6 minutes of unplanned downtime per year. Planned maintenance windows are excluded from the uptime calculation and will be communicated with minimum 48 hours advance notice.
- In the event of an SLA breach, the client's sole and exclusive remedy is a service credit calculated as 5% of the monthly fee for each hour (or part thereof) of excess downtime, subject to a maximum credit of 30% of the monthly fee per calendar month. Service credits are not transferable and have no cash value.
- Clients must not attempt to access, modify, or extract data from the underlying infrastructure beyond what is provided through the Digital Bridge API. Any attempt to circumvent access controls or to access third-party marketplace data without authorisation is strictly prohibited.
AI Procurement Optimisation — Service-Specific Terms
- The AI Procurement Optimisation service operates on a success-based fee model of 2% of verified procurement savings. No fee is payable where no measurable saving is achieved.
- BangoPure's proprietary algorithm scans in excess of 50,000 global supplier sources. The average client saving is £127,000 per annum across approximately 240 procurement decisions. These figures represent historical averages and do not constitute a guarantee of future performance.
- Clients acknowledge that procurement recommendations are based on publicly available supplier data and BangoPure's proprietary database, and that BangoPure cannot independently verify every supplier's current capacity, quality standards, or compliance status. Clients retain full responsibility for their own supplier due diligence.
- Procurement data and spend analytics submitted to BangoPure for the purposes of this service are treated as confidential commercial information. BangoPure will not share client procurement data with any third party, including with suppliers in BangoPure's database, without explicit client consent.
Dropshipping & VAT Logic Support — Service-Specific Terms
- The Dropshipping & VAT Logic service automates customs documentation and HS code classification, achieving 95.3% HS code accuracy and reducing documentation preparation time from approximately 4.5 hours to approximately 12 minutes.
- Automated documentation generated by BangoPure includes Commercial Invoices, C88 SAD forms, EUR.1 certificates, and Certificates of Origin. Users are responsible for reviewing all generated documents for accuracy before submission to customs authorities.
- BangoPure does not act as a customs agent, customs broker, or tax adviser. Use of this service does not constitute professional customs or tax advice, and BangoPure accepts no liability for HMRC penalties, customs assessments, or duties arising from the use of automated documentation, except where such liability arises directly from BangoPure's own negligence or material error.
- Pricing is £0.85 to £3.50 per shipment as set out in the applicable pricing schedule. Volume discounts are available under enterprise agreements.
- Users acknowledge the specific advantages available under the UK-Isle of Man Common Purse Agreement in the context of international trade facilitation and warrant that they will use these advantages only in a lawful manner consistent with applicable customs regulations.
ReMaterial Academy — Service-Specific Terms
- The ReMaterial Academy offers a seven-tier certification programme aligned with ISO 59000 circular economy standards. Enrolment fees, examination fees, and certification fees are published at academy.bangopure.com and may be updated from time to time.
- BangoPure commits to providing the curriculum, assessment, and certification services as described in the Academy course information at the time of enrolment. Material changes to the curriculum after enrolment will be communicated with reasonable advance notice.
- Academy certificates, once issued, are recorded on the Polygon blockchain as tamper-proof, permanently verifiable credentials. The certificate holder is solely responsible for any disclosure of certificate details to third parties.
- Where an Academy student fails an examination, a re-sit fee applies as set out in the published fee schedule. Where a student withdraws from a programme after commencement, refunds are available only for the uncompleted modules of the programme, calculated on a pro-rata basis, minus a £150 administrative fee.
- All Academy course materials, assessments, and curriculum content are the exclusive intellectual property of BangoPure Limited. Students are granted a personal, non-exclusive licence to use course materials for the purposes of their own learning. Reproduction, redistribution, resale, or commercial use of Academy materials is strictly prohibited.
- BangoPure reserves the right to revoke any certification where it discovers, after the fact, that the certification was obtained by fraud, misrepresentation, plagiarism, or use of AI-generated content in assessments where such use was prohibited.
Corporate ESG Solutions and Trust Badge Programme — Service-Specific Terms
- Corporate ESG Solutions contracts range from £25,000 to £250,000 per annum, depending on the scope of services, the size of the corporate client's supply chain, and the complexity of the ESG verification and reporting requirements.
- BangoPure's Corporate ESG Solutions replace self-reported supplier questionnaires with AI-verified performance metrics and blockchain-backed compliance documentation. Corporate clients acknowledge that the verification accuracy of BangoPure's AI Assessment Engine (95.3%) means that a small proportion of assessments may require human review, and that the human review process may add up to five working days to overall verification timelines.
- ESG reporting documents generated by BangoPure are provided for the client's internal reporting and disclosure purposes. BangoPure does not act as an auditor, assurance provider, or regulated reporting entity. Clients remain solely responsible for the accuracy and completeness of their published ESG disclosures and for compliance with all applicable reporting standards.
- The BangoPure Trust Badge is awarded to businesses that have completed a full BangoPure ESG verification cycle and met the applicable Trust Badge Standard. The Trust Badge is a non-exclusive, revocable licence to use the BangoPure Trust Badge mark, subject to continued compliance with the Trust Badge Standard. BangoPure may revoke any Trust Badge upon reasonable evidence of non-compliance.
- White-label enterprise platform licensing is available under separate agreement at £25,000 per annum plus £180 per client account.
User Content
BangoPure Platforms enable Users to submit, post, and publish Content across marketplaces, communities, events platforms, and other digital environments. The following terms govern all User Content:
Your Licence to BangoPure
By submitting any Content to any BangoPure Platform, you grant BangoPure a worldwide, royalty-free, sublicensable, non-exclusive licence to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display that Content in connection with the operation, promotion, and improvement of BangoPure's services. This licence continues for so long as the Content remains on BangoPure Platforms and, in respect of Content that forms part of a DPP or blockchain record, for as long as such records exist (including indefinitely for blockchain records). You represent and warrant that you own or have the necessary rights to grant this licence.
Content You Are Responsible For
You are solely responsible for all Content you submit to BangoPure Platforms. BangoPure does not endorse, verify (except through its AI Assessment Engine for product sustainability claims), or take responsibility for User Content.
Prohibited Content
You must not submit, post, or transmit Content that:
- Is false, misleading, or capable of deceiving consumers about product sustainability, origin, or credentials
- Infringes any third party's intellectual property rights, including copyright, trade mark, or design rights
- Misappropriates any artisan community's traditional knowledge, cultural heritage, or geographical indication
- Contains, depicts, or promotes hate speech, discrimination, harassment, or violence towards any person or group
- Constitutes unsolicited commercial communications (spam) or promotional material not permitted by BangoPure
- Contains viruses, malware, ransomware, or any other malicious code
- Violates any applicable law or regulation, including consumer protection, advertising standards, or product safety laws
- Constitutes greenwashing: any environmental claim that is vague, unsubstantiated, irrelevant, or misleading, in violation of the UK Green Claims Code, the EU Green Claims Directive, or equivalent regulations
- Depicts or facilitates the exploitation of workers, child labour, or any conduct contrary to the UN Guiding Principles on Business and Human Rights
- Constitutes price-fixing, cartel behaviour, or any other anti-competitive conduct
Intellectual Property
All Intellectual Property in and to BangoPure's Platforms, Services, technology, software, systems, brand identity, trade marks, service marks, logos, databases, training data, AI models, blockchain infrastructure, DPP schemas, course materials, event materials, marketing materials, and all other proprietary assets is and shall remain the exclusive property of BangoPure Limited.
- Nothing in these Terms grants you any ownership right, title, or interest in any BangoPure Intellectual Property. Any licence granted to you under these Terms is personal, non-exclusive, non-sublicensable, non-transferable, and revocable upon breach.
- You must not copy, reproduce, reverse engineer, decompile, disassemble, or create derivative works from any BangoPure software, AI systems, or platform technology without BangoPure's express prior written consent.
- You must not scrape, data-mine, or use automated tools to extract data from any BangoPure Platform without BangoPure's express prior written consent.
- The BangoPure name, logo, DPP mark, ReMaterial Academy mark, Trust Badge mark, EcoConnect mark, Catalyst mark, and all other BangoPure trade marks and service marks are the registered or unregistered trade marks of BangoPure Limited. Unauthorised use of these marks is strictly prohibited and constitutes trade mark infringement.
- BangoPure's 35-mark UK trademark portfolio, identified across five tiers, is in the process of registration with the UK Intellectual Property Office, EUIPO, and under the Madrid Protocol. BangoPure asserts all rights in these marks from the date of first use.
Payment Terms
General Payment Obligations
- All fees are payable in accordance with the pricing schedule applicable at the time of purchase, subscription, or contract execution. BangoPure reserves the right to amend its pricing, with not less than 30 days written notice to existing subscribers for subscription price increases.
- All prices quoted on BangoPure Platforms are, unless expressly stated otherwise, exclusive of applicable taxes including VAT. UK VAT at the standard rate of 20% will be added to all taxable supplies made to UK VAT-registered and non-VAT-registered buyers. The applicable VAT treatment for international transactions will be determined in accordance with the UK VAT Act 1994, the EU VAT Directive, and applicable local tax legislation.
- BangoPure accepts payment through Stripe (UK), Paystack, Flutterwave (Francophone Africa), and pawaPay (mobile money). Available payment methods are presented to the User at the checkout stage. Payment must be made in cleared funds before access is granted to paid services.
Subscription Services
- Subscription fees are charged in advance on a monthly or annual basis as selected by the User. Annual subscriptions are entitled to the annual pricing discount set out in the applicable pricing schedule.
- Subscriptions renew automatically at the end of each billing period unless cancelled by the User before the renewal date. Cancellation must be effected through the User's account settings or by emailing billing@bangopure.com not less than 5 working days before the renewal date.
- No refund of prepaid subscription fees is payable upon mid-term cancellation, except where the User cancels within the statutory cancellation period (14 days from the date of the initial subscription for users who have not yet commenced use of the service) or where BangoPure has materially and persistently failed to deliver the subscribed service.
Late Payment and Debt Recovery
- Late payment of any invoice not paid within the agreed payment terms will attract interest under the Late Payment of Commercial Debts (Interest) Act 1998 at the rate of 8% per annum above the Bank of England base rate, calculated daily from the due date until the date of actual payment.
- BangoPure reserves the right to suspend service delivery, including access to paid platforms and the processing of pending marketplace payouts, in the event of material overdue amounts.
API Access and Developer Integration
- Access to BangoPure's API infrastructure requires execution of a separate API Developer Agreement and payment of applicable API licence fees.
- API rate limits are enforced as follows: 100 requests per minute per endpoint for standard API users; enterprise limits are set out in the enterprise API agreement. BangoPure reserves the right to throttle or terminate API access for users who persistently exceed rate limits.
- All API integrations must comply with BangoPure's API Integration Standards, published at developers.bangopure.com. BangoPure reserves the right to deprecate or modify any API endpoint with not less than 90 days notice for enterprise clients and 30 days notice for standard API users.
- API clients must not use BangoPure's API to build any service that competes directly with BangoPure's core services without BangoPure's express prior written consent.
Prohibited Conduct
The following conduct is strictly prohibited on all BangoPure Platforms and Services. Breach of any of the following prohibitions constitutes a material breach of these Terms and entitles BangoPure to take all remedies available to it, including immediate account termination, legal proceedings, and referral to appropriate authorities:
- Submitting false, fraudulent, or misleading information to BangoPure in any context whatsoever
- Impersonating any person, company, organisation, or authority, including impersonating BangoPure staff
- Circumventing, disabling, or interfering with any security feature, access control, authentication mechanism, or rate-limiting system on any BangoPure Platform
- Conducting or facilitating any denial-of-service attack, distributed denial-of-service attack, or any other attack on BangoPure's infrastructure
- Attempting to access any part of BangoPure's infrastructure, source code, databases, or internal systems beyond the access expressly provided to you
- Conducting any automated scraping, crawling, or harvesting of BangoPure Platform data without express written authorisation
- Using BangoPure Platforms to facilitate money laundering, terrorist financing, or any other financial crime
- Attempting to manipulate AI Assessment Engine results through the submission of fraudulent imagery, altered samples, or misleading supporting documentation
- Reselling, sublicensing, or commercialising any BangoPure service or data without authorisation
- Using BangoPure's Trust Badge, DPP marks, or any other BangoPure intellectual property without a current, valid licence
- Knowingly making any greenwashing claim in any product listing, profile, or communication on any BangoPure Platform
- Engaging in any form of shill bidding, fake reviews, artificial inflation of community metrics, or manipulation of BangoPure's algorithm or ranking systems
Suspension and Termination
Termination by User
You may terminate your BangoPure account at any time by contacting support@bangopure.com or through the account settings on your registered BangoPure account. Upon termination, access to paid services ceases at the end of the current billing period (with no pro-rata refund unless required by law). BangoPure will retain your data in accordance with the retention schedule set out in the Data Retention section of our Privacy Policy.
Suspension and Termination by BangoPure
BangoPure reserves the right to suspend your account immediately and without prior notice where:
- There is suspected fraudulent, abusive, or illegal activity on your account
- Your account is the subject of a law enforcement enquiry or court order
- You are in material breach of these Terms and, where the breach is remediable, you have failed to remedy the breach within 7 days of written notice
- You have submitted false or fraudulent KYC documentation
- Your continued access presents an imminent risk to BangoPure's infrastructure, other users, or third parties
BangoPure reserves the right to terminate your account permanently and, at its discretion, to withhold any accrued marketplace earnings pending investigation, where:
- You have committed a serious breach of these Terms that is not capable of remedy
- You have been convicted of a relevant criminal offence
- You have engaged in any conduct that BangoPure reasonably determines to be incompatible with BangoPure's values and mission, including persistent greenwashing, exploitation of artisan communities, or facilitation of illegal trade
BangoPure will exercise its rights of suspension and termination reasonably and proportionately, and will provide written reasons for any permanent termination decision. Permanent termination decisions may be appealed to legal@bangopure.com within 28 days.
Warranties and Representations
BangoPure's Warranties
BangoPure warrants that:
- It has the full power and authority to enter into and perform these Terms
- BangoPure's Platforms and Services will be delivered with reasonable skill and care, consistent with applicable professional standards
- BangoPure will use commercially reasonable efforts to maintain platform availability consistent with the uptime commitments stated in the relevant SLAs
- BangoPure will maintain and update its AI Assessment Engine to preserve a material verification accuracy rate and will promptly investigate and address any material degradation in accuracy reported by users
BangoPure's Disclaimers
Notwithstanding the BangoPure's Warranties provisions and subject to the Non-Excludable Rights provisions (non-excludable rights):
- BangoPure's Platforms and Services are provided on an 'as is' and 'as available' basis. Except as expressly stated in these Terms, BangoPure makes no warranty, express or implied, regarding its Platforms or Services, including no implied warranty of merchantability, fitness for a particular purpose, satisfactory quality, or non-infringement.
- BangoPure does not warrant that its Platforms will operate error-free or without interruption, that all defects will be corrected, or that the Platforms are free from viruses or other harmful components.
- AI Assessment Engine results are provided as BangoPure's best technological determination and do not constitute absolute scientific proof of product composition or sustainability claims. BangoPure does not warrant the legal admissibility of AI Assessment results in any jurisdiction.
- BangoPure does not verify the accuracy, completeness, or authenticity of User-submitted product information, company details, or professional credentials, except through its AI Assessment Engine for material verification purposes.
Seller Warranties
Every Seller, by listing a product on any BangoPure marketplace, warrants to BangoPure and to Buyers that:
- The Seller is legally entitled to sell the listed product and holds all necessary licences, permits, and approvals
- The product and its listing comply with all applicable laws and regulations in all markets where it may be purchased, including consumer product safety laws, labelling requirements, and import/export regulations
- All sustainability claims in the product listing are accurate, substantiated, and not misleading
- The product does not infringe any third party's intellectual property rights
- The product does not misappropriate any artisan community's traditional knowledge or cultural heritage
- The Seller will fulfil all confirmed orders promptly and in accordance with the confirmed delivery timeframes
- The Seller holds appropriate product liability insurance where required by law or by the nature of the product
Indemnification
You agree to indemnify, defend, and hold harmless BangoPure Limited, BangoPure Europe Limited, their respective officers, directors, employees, contractors, agents, representatives, successors, and assigns (together, 'BangoPure Indemnified Parties') from and against any and all claims, actions, proceedings, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising out of or in connection with:
- Your breach of any provision of these Terms
- Your breach of any applicable law or regulation
- Your User Content, including any claim that your Content infringes any third party's intellectual property rights or violates any applicable law
- Your products, including any product liability claim, consumer claim, or regulatory action arising from any product you listed on any BangoPure marketplace
- Your wilful misconduct, fraud, or negligence
- Any use of your BangoPure account by any third party, whether or not authorised by you
BangoPure will notify you of any indemnifiable claim as soon as reasonably practicable, will provide you with reasonable cooperation in the defence of the claim, and will not settle any claim for which indemnification is sought without your prior written consent (not to be unreasonably withheld).
Limitation of Liability
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY
This Section sets out the limits on BangoPure's liability to you. It does not affect any liability that cannot lawfully be limited or excluded under applicable law.
Exclusion of Consequential Loss
To the fullest extent permitted by applicable law, BangoPure shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:
- Loss of profits, revenue, or income
- Loss of business, contracts, or anticipated savings
- Loss of goodwill or reputation
- Loss of data (beyond the data recovery obligations in BangoPure's standard SLAs)
- Indirect, incidental, special, exemplary, or consequential loss of any kind
even if BangoPure had been advised of the possibility of such loss.
Cap on Liability
BangoPure's total aggregate liability to you in respect of all claims arising under or in connection with these Terms, whether in contract, tort, breach of statutory duty, or otherwise, shall not exceed:
- For Subscription Services: the total subscription fees paid by you to BangoPure in the 12 months immediately preceding the event giving rise to the claim
- For Marketplace transactions: the value of the specific transaction(s) to which the claim relates
- For Event attendance: the ticket or delegate package fee paid for the specific event to which the claim relates
- For B2B SaaS services: the total fees paid under the applicable B2B SaaS agreement in the 12 months immediately preceding the event giving rise to the claim
Non-Excludable Rights
Nothing in these Terms excludes or limits BangoPure's liability for:
- Death or personal injury caused by BangoPure's negligence
- Fraud or fraudulent misrepresentation by BangoPure
- Any liability that cannot lawfully be excluded under the Consumer Rights Act 2015, the Consumer Protection Act 1987, or any other applicable mandatory consumer protection legislation
- Any liability that cannot lawfully be excluded under the laws of your jurisdiction
Force Majeure
BangoPure shall not be in breach of these Terms, nor liable for any failure or delay in performance, to the extent that such failure or delay is caused by or arises from any Force Majeure event, provided that BangoPure notifies you as soon as reasonably practicable of the Force Majeure event and takes all reasonably practicable steps to mitigate its effects. Where a Force Majeure event continues for more than 90 consecutive days, either party may terminate the affected contract with immediate effect upon written notice, and neither party shall have any further liability to the other in respect of the terminated contract, save for obligations that have already accrued.
Third-Party Services and Links
BangoPure's Platforms may contain links to third-party websites, services, applications, and content. BangoPure does not endorse, control, or take responsibility for any third-party content or services. Your use of any linked third-party service is entirely at your own risk and subject to that third party's own terms and conditions. BangoPure specifically draws your attention to the fact that the following third-party services, whilst integrated with BangoPure's Platforms, are governed by their own separate terms of service and privacy policies:
- TicketTailor (tickettailor.com) — event registration and ticketing
- Stripe (stripe.com) — payment processing
- Paystack (paystack.com) — African payment processing
- Flutterwave (flutterwave.com) — Francophone Africa payments
- pawaPay (pawapay.io) — mobile money disbursements
- Google (accounts.google.com) — OAuth single sign-on
- LinkedIn (linkedin.com) — OAuth single sign-on
- Microsoft (microsoft.com) — OAuth single sign-on
- Cloudflare (cloudflare.com) — security and CDN services
- Polygon Foundation (polygon.technology) — blockchain infrastructure
Confidentiality (B2B Clients)
Where BangoPure and a B2B client have not executed a separate Non-Disclosure Agreement, the following mutual confidentiality obligations apply from the date of commencement of any B2B service relationship:
- Each party agrees to treat as strictly confidential all non-public, commercially sensitive information disclosed by the other party ('Confidential Information') in connection with the services.
- Neither party will disclose the other's Confidential Information to any third party without the disclosing party's prior written consent, except to its employees, contractors, or professional advisers on a need-to-know basis and subject to equivalent confidentiality obligations.
- The confidentiality obligation set out above does not apply to information that is, or becomes, publicly available without breach of these Terms; that the receiving party already lawfully possessed before disclosure; that the receiving party receives from a third party without breach of any obligation; or that the receiving party is required to disclose by law, court order, or regulatory authority.
- The confidentiality obligations in this Section survive termination of the service relationship for a period of five (5) years.
Anti-Corruption, Anti-Bribery, and Anti-Slavery
BangoPure is committed to operating with the highest standards of integrity in all its business activities worldwide. All Users, partners, suppliers, and counterparties engaging with BangoPure must comply with the following:
- Anti-Bribery: Neither party will, in connection with any BangoPure service, engage in any act that constitutes bribery, corruption, or facilitation of bribery under the Bribery Act 2010, the US Foreign Corrupt Practices Act, or equivalent legislation in any applicable jurisdiction.
- Anti-Slavery: BangoPure is committed to the objectives of the Modern Slavery Act 2015 and does not tolerate slavery, forced labour, child labour, or human trafficking in any part of its supply chain or operations. All Sellers on BangoPure's marketplaces must comply with this commitment and, upon request, provide reasonable evidence of their supply chain practices.
- Anti-Money Laundering: All transactions through BangoPure's Platforms are subject to BangoPure's AML screening programme. BangoPure is required by law to report suspicious activity to the National Crime Agency (NCA) in the UK and to equivalent bodies in other jurisdictions.
- Sanctions Compliance: BangoPure does not transact with individuals or entities that are the subject of sanctions imposed by the UK Office of Financial Sanctions Implementation (OFSI), the EU, the US Office of Foreign Assets Control (OFAC), or the United Nations Security Council.
Ethical Trade, Artisan Protection, and Fair Commerce
BangoPure's foundational mission includes empowering African and emerging market artisan entrepreneurs to access global commerce on fair and equitable terms. The following commitments and obligations apply to all participants in BangoPure's ecosystem:
- No marketplace participant may engage in any practice that exploits, misrepresents, or appropriates the work, identity, cultural heritage, or intellectual output of artisan communities.
- Sellers must pay fair prices to their suppliers and producers and must not engage in price-squeezing, delayed payment, or exploitative commercial practices with the artisan communities whose work they sell.
- BangoPure's Africa Representatives (Ms Yvette Kengne and Ms Adele Moukoko Kiki) act as authorised BangoPure representatives in their respective territories. Communications from other parties claiming to represent BangoPure in Africa or to offer BangoPure services on BangoPure's behalf should be reported to rose.whittaker@bangopure.com for verification.
- BangoPure will not remove, reduce, or disadvantage any artisan seller for reasons unrelated to the legitimate operation of the marketplace. Artisan sellers are entitled to a clear explanation of any listing rejection or account action.
Accessibility and Non-Discrimination
BangoPure is committed to making its Platforms and Services accessible to all users, regardless of disability, age, or technological capability. BangoPure's Platforms are developed in accordance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA as a minimum standard. Where you experience an accessibility issue with any BangoPure Platform, please contact accessibility@bangopure.com.
BangoPure does not discriminate against any User on the grounds of age, disability, gender reassignment, marriage or civil partnership, pregnancy or maternity, race, religion or belief, sex, or sexual orientation, as protected by the Equality Act 2010. Users who believe they have been discriminated against in their use of any BangoPure Platform or Service should contact legal@bangopure.com.
Environmental Commitment and Green Claims Compliance
BangoPure's core business purpose is the advancement of the circular economy and the elimination of greenwashing. As such, BangoPure holds itself and all Platform participants to the highest standards of environmental accuracy and integrity:
- All BangoPure's own environmental claims are capable of substantiation by reference to verified data, independent assessment, or blockchain-anchored records.
- BangoPure's carbon-neutral logistics claim is substantiated through verified carbon offset purchases and independently audited lifecycle assessments.
- All environmental claims made through BangoPure Platforms, including in DPPs, AI assessment outputs, and sustainability certificates, are grounded in technological verification rather than self-declaration.
- BangoPure complies with the UK Green Claims Code issued by the Competition and Markets Authority (CMA), the EU Green Claims Directive (2024/825), and all applicable advertising standards.

Amendments to These Terms
BangoPure reserves the right to amend these Terms at any time. For consumer users and free-tier users, amendments to material provisions will take effect 30 days after publication on BangoPure's website, with email notification provided to registered users. For B2B SaaS clients on fixed-term contracts, amendments will not take effect until the next contract renewal date, save where required by applicable law or regulatory change. Your continued use of any BangoPure service after the effective date of any amendment constitutes your acceptance of the amended Terms.
Notices
All formal notices to BangoPure under these Terms must be delivered by email to legal@bangopure.com (for expediency) and by prepaid first-class post or a recognised international courier to BangoPure Limited, Barnsley, South Yorkshire, United Kingdom. Notices sent by email are deemed received at the time of transmission (provided the sender retains proof of transmission and does not receive a delivery failure notification within 24 hours). Notices sent by post are deemed received on the second working day after posting within the United Kingdom, or on the fifth working day after posting from any other country.
BangoPure will issue formal notices to you at the email address registered to your BangoPure account, and it is your sole responsibility to keep your contact details current.
Governing Law and Jurisdiction
General Rule
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Subject to the EEA Users provisions and 58.3, both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with these Terms.
EEA Users
Where you are a consumer or business located within the European Economic Area, nothing in these Terms affects your right to bring proceedings before the courts of the EU Member State in which you are located, and the mandatory provisions of the law of your Member State shall apply to the extent required.
Ireland
Where your principal relationship is with BangoPure Europe Limited (Ireland), these Terms shall also be construed in accordance with the laws of Ireland in respect of those services delivered by or through BangoPure Europe Limited, and the Irish courts shall have non-exclusive concurrent jurisdiction alongside the courts of England and Wales.
Dispute Resolution
Before commencing any formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 days from written notification of the dispute to legal@bangopure.com. If the dispute is not resolved through negotiation within that period, either party may refer the matter to the Centre for Effective Dispute Resolution (CEDR) for mediation before commencing court proceedings. The costs of mediation shall be shared equally between the parties unless the mediator otherwise recommends. Notwithstanding the foregoing, BangoPure may seek immediate injunctive or interim relief before any court of competent jurisdiction where necessary to protect its intellectual property, confidential information, or business interests.
General Provisions
Entire Agreement
These Terms, together with BangoPure's Privacy Policy (Part One), Cookie Policy, any applicable SLAs, order forms, and any service-specific supplementary terms, constitute the entire agreement between you and BangoPure with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings of any kind, whether oral or written.
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, that provision shall, to the minimum extent necessary, be severed from these Terms. The remaining provisions shall continue in full force and effect, and the parties shall, in good faith, seek to replace the invalid or unenforceable provision with a valid and enforceable provision that, as nearly as possible, achieves the same commercial and legal effect.
Waiver
No failure or delay by BangoPure in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy.
Assignment
You may not assign, novate, charge, sub-licence, or otherwise transfer any of your rights or obligations under these Terms without BangoPure's prior written consent. BangoPure may assign, novate, or transfer any of its rights or obligations under these Terms to any subsidiary, affiliate, or successor entity, provided that BangoPure notifies you in writing and the successor entity assumes all BangoPure's obligations to you.
No Partnership or Agency
Nothing in these Terms shall be construed as creating any employment, agency, partnership, joint venture, or franchise relationship between you and BangoPure. Neither party has authority to bind the other in any way.
Third-Party Rights
These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999, except that BangoPure's group companies and the BangoPure Indemnified Parties identified in the Indemnification section may enforce any provision of these Terms that is stated to be for their benefit.
Language
These Terms are drawn up in the English language. Where these Terms are translated into any other language for the convenience of users in particular markets (including French translations prepared for Francophone Africa markets), the English language version shall prevail in the event of any inconsistency.
